Terms and Conditions of Sale and Service
1. Introduction
These Terms and Conditions govern all sales, services, and transactions between RENEF Consulting (PTY) LTD (“RENEF,” “we,” “us,” or “our”) and the Purchaser (“Client,” “you,” or “your”). By engaging in business with RENEF, you agree to these terms in full.
2. Quotations & Orders
2.1 All quotations are valid for 30 days from the date of issue unless stated otherwise.
2.2 Prices quoted exclude VAT unless explicitly mentioned.
2.3 The quoted prices are based on the contract being awarded in full. If the contract is fragmented, RENEF reserves the right to revise pricing accordingly.
2.4 Orders placed are subject to approval through credit insurance or receipt of suitable payment guarantees.
3. Payment Terms
3.1 Purchasers with credit facilities must pay invoices within 7 working days from the date of invoice unless otherwise agreed upon.
3.2 Full payment is required before the commencement of work for clients without an established credit facility.
3.3 The Client shall pay all accounts in full and cannot exercise any rights of set-off or counterclaim against invoices submitted.
3.4 No settlement discounts apply unless explicitly agreed upon in writing.
3.5 If payments are not received within the agreed timeframe, RENEF reserves the right to repossess any supplied goods and suspend further work until payment is settled.
4. Delivery & Ownership Transfer
4.1 Standard delivery times are 3 to 4 days from order placement, subject to stock availability.
4.2 Liability for equipment transfers from RENEF to the Client upon delivery to the Client’s premises.
4.3 If commissioning is carried out without RENEF’s assistance, ownership and responsibility transfer at the time of delivery. If commissioning assistance is included, ownership and responsibility transfer upon signing the Provisional Acceptance Certificate (PAC).
4.4 Any ancillary items ordered separately may incur additional costs and revised delivery schedules.
5. Warranty & Acceptance
5.1 RENEF warrants that all supplied equipment is free from design, material, and workmanship defects.
5.2 The warranty period is 12 months from PAC signature or 18 months from delivery, whichever comes first.
5.3 The warranty does not apply if:
- Equipment is operated beyond the contractual conditions.
- The Client fails to follow RENEF’s User Guidelines.
- Equipment is subject to mishandling, improper maintenance, or unauthorized modifications.
5.4 The Client must provide access for RENEF to rectify any warranty-related issues.
5.5 The warranty excludes specific wear-and-tear components, including burner tips, igniters, UV tubes, and refractory linings.
6. Performance Guarantees
6.1 Performance guarantees are valid only if RENEF’s commissioning assistance service is purchased.
6.2 Performance guarantees become null and void if:
- Testing is prevented for reasons beyond RENEF’s control.
- The Client fails to provide necessary shutdowns for adjustments.
6.3 All costs associated with performance tests, including third-party testing, are the Client’s responsibility.
7. Cancellation & Change Orders
7.1 If the Client cancels the order, RENEF reserves the right to charge a cancellation fee of at least 25% of the contract value, plus:
- The sales value of all goods delivered.
- The sales value of all finished but undelivered goods.
- The cost of all materials ordered specifically for the project.
- The cost of all labor accumulated on unfinished goods.
- Any special engineering or administrative costs incurred.
7.2 Changes requested after order acceptance may result in additional costs and extended delivery times.
8. Limitation of Liability
8.1 RENEF is not liable for any indirect, incidental, or consequential damages, including lost profits, business interruptions, or third-party claims.
8.2 RENEF’s liability for any direct claims shall not exceed 2.5% of the contract sum.
8.3 The Client has no right to independently undertake warranty-related repairs without prior written notice to RENEF.
9. Intellectual Property
9.1 All technical documents, plans, drawings, and quotations provided by RENEF remain RENEF’s property and are protected under intellectual property laws.
9.2 Clients may not reproduce, share, or use RENEF’s proprietary materials for purposes beyond the contract scope.
9.3 Any unauthorized reproduction or distribution of RENEF’s documents is strictly prohibited.
10. Governing Law & Disputes
10.1 These Terms and Conditions shall be governed by and interpreted in accordance with the laws of South Africa.
10.2 Any disputes arising from these terms shall first be resolved through negotiation. If unresolved, disputes will be referred to arbitration in Johannesburg, South Africa.
11. Amendments & Acceptance
11.1 RENEF reserves the right to update these Terms and Conditions at any time. Updates will be published on our website and take immediate effect.
11.2 Engaging in business with RENEF constitutes acceptance of these Terms and Conditions.
